1. Agreement
By using WaPay ("the Service"), you agree to these Terms of Service. WaPay is operated by Jenaige Design Ltd (CRO: 702966), registered in Ireland. If you do not agree to these terms, do not use the Service.
2. The Service
WaPay provides:
- Invoicing and payment request creation via WhatsApp
- Secure payment collection via Stripe
- Automated payment reminders
- A web dashboard for managing your accounts receivable
- QR codes and share links for customer onboarding
WaPay is a payment facilitation platform. We do not provide financial advice, lending, or banking services.
3. Eligibility
To use WaPay, you must:
- Be at least 18 years old
- Be operating a legitimate business, trade or freelance practice
- Have a valid WhatsApp account
- Comply with WhatsApp's Commerce Policy and Business Policy
4. Your Account
- You are responsible for keeping your password secure
- You are responsible for all activity under your account
- You must provide accurate information during registration
- You must notify us immediately if you suspect unauthorised access
- We may suspend or terminate accounts that violate these terms
5. Fees and Payments
- Platform fee: 1% of each successful transaction, deducted from your payout
- Stripe processing fee: passed through at cost (typically 1.5% + €0.25)
- Both fees are only applied when an invoice is successfully paid — never before. If your customer does not pay, no fee is charged.
- There are no monthly fees, setup costs, or minimum commitments
- Fees may change with 30 days' notice via email or WhatsApp
6. Invoices and Payments
- You are responsible for the accuracy and legality of invoices you create
- WaPay generates VAT-compliant invoices based on the information you provide
- Payments are processed by Stripe and deposited to your connected bank account
- WaPay does not hold or escrow funds — payments go directly from the customer to you via Stripe
- Refunds must be handled through Stripe's dashboard
7. WhatsApp Messaging
- WaPay sends messages on your behalf to your customers via WhatsApp
- Automated payment reminders are sent for overdue invoices (up to 3 reminders over 21 days)
- Customers can opt out of reminders by replying STOP at any time
- You must not use WaPay to send spam, unsolicited marketing, or illegal content
- You are responsible for having a legitimate business relationship with your customers
- Customer consent: By sending an invoice or payment request via WaPay, you confirm that your customer has agreed to receive payment-related messages via WhatsApp. WaPay records consent on your behalf but you are responsible for obtaining it.
- WaPay is not a debt collection service. Payment reminders are transactional notifications related to specific invoices you have issued.
- All messaging is subject to WhatsApp's Business Policy. Violations may result in suspension of your WaPay account.
8. Prohibited Uses
You may not use WaPay for:
- Illegal activities or fraud
- Selling prohibited goods or services (as defined by WhatsApp's Commerce Policy and Stripe's Prohibited Businesses list)
- Harassment, spam, or unsolicited messaging
- Impersonating another business or individual
- Attempting to reverse-engineer, hack, or compromise the Service
9. Intellectual Property
The WaPay name, logo, software and website content are owned by Jenaige Design Ltd. You may not copy, modify, distribute, or create derivative works without our written permission.
You retain ownership of your business data, invoices, and customer information.
10. Limitation of Liability
- WaPay is provided "as is" without warranties of any kind
- We are not liable for payment disputes between you and your customers
- We are not liable for Stripe processing errors, delays, or outages
- We are not liable for WhatsApp service interruptions
- Our total liability is limited to the fees you have paid us in the preceding 12 months
11. Termination
- You can delete your account at any time from your dashboard or by contacting us
- We may suspend or terminate your account for violations of these terms with reasonable notice
- On termination, your data will be handled according to our Privacy Policy
12. Governing Law
These terms are governed by the laws of Ireland. Any disputes will be subject to the exclusive jurisdiction of the Irish courts.
13. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email or WhatsApp with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
